SMITH & WESSON UNILATERAL MAP POLICY

Policy Statement. To protect our brand integrity, and to further enhance our image in the marketplace, Smith & Wesson brands, Inc. and its subsidiary, Smith & Wesson Sales Company (collectively “SWSC”), have unilaterally adopted a Minimum Advertised Price (“MAP”) Policy that sets forth minimum advertised prices for SWSC’s products and applies to all advertising by Retailers in the United States. SWSC will, in its sole discretion, from time-to-time unilaterally issue a MAP Policy announcement to all Retailers and Distributors.

The MAP Policy does not apply to the prices at which Retailers actually sell SWSC’s products. Retailers are free to sell SWSC’s products at whatever price they choose, in their sole discretion, just as SWSC is free to choose the Retailers with whom it will conduct business. If SWSC determines unilaterally, and in its sole discretion, that a Retailer has advertised a SWSC product at a price below that set forth in the MAP Policy, SWSC may unilaterally choose to suspend or terminate sales to the Retailer.

If a particular SWSC product does not appear on the current MAP listing, then this MAP Policy does not apply to that product. The MAP Policy applies to both in stock and out of stock items. When SWSC lists a product covered by this MAP Policy, SWSC will notify Distributors and Direct Retailers of the applicable MAP for that product and it shall be the sole responsibility of the Distributor to provide such notification and information to its Retailers. SWSC product on the current MAP listing can be found at HERE. The SWSC MAP Policy applies to all forms of advertisements of designated products in any and all media, including, but not limited to, the following:

Any advertising method that provides for or suggests a price below the minimum advertised price

violates this MAP Policy. Examples of advertising methods that violate this MAP Policy include,

but are not limited to, the following:

  1. The use of a rebate, coupon, promotion, giveaway, or incentive that reduces the advertised price below the minimum advertised price;
  2. The inclusion in advertising of free or discounted products with a product covered by this MAP Policy, if it has the effect of discounting the advertised price of the covered product below the minimum advertised price;
  3. The inclusion of a MAP Product being advertised as part of a Retailer loyalty or “club” program
  4. If pricing is displayed, any strike‐through or other alteration of the established minimum advertised price;
  5. Statements such as “Click here for Lower Price,” “Add to Cart for Lower Price,” or “Check Cart for Lower Price.”

For avoidance of doubt, it will not be considered a violation of the MAP policy if:

  1. “Call for Price” is utilized in a non-automated format, where a consumer must contact the retailer directly and independently of the internet process, and an order is placed via phone by that particular individual. If this method is used, the only terminology associated with it may be “Call for Price” or “Contact for Price”
  2. “Email for Price” is utilized, only in a non-automated format, with a personal response directly from an individual, and it must be independent of the online checkout process. The price response may only be used by the intended, direct recipient of the email, and may not be forwarded to promote below MAP pricing, or price comparisons. If this method is used, the only terminology with it may be “Email for Price”, or “Contact for Price.” Any other terminology referencing promotions, discounts, coupon codes, or similar tactics, is strictly prohibited.

Internet Platforms. For internet sales, including, and without limitation, to internet auctions and marketplace (such as GunBroker and other similar platforms):

  1. All Retailers selling on auction sites or marketplace sites, must register their name or alias with SWSC MAP Administrator at brandprotection@smith-wesson.com, if the name being used is different from that of the account name used when purchasing from the authorized supplier. Selling without registering an identity is a violation of SWSC’s MAP Policy.
  2. Exact UPC codes and SWSC SKUs (not variations thereof) must be used in all listings.
  3. No pricing below MAP may be listed, hidden or visible, for any product, anywhere within the listing, including a starting bid, “Buy it Now” price, “Reserve Price” or “Minimum Bid.”
  4. Retailers may not utilize GunBroker’s “Take A Shot” feature or other similar platforms, any feature that promotes advertising of below MAP pricing.

Resulting Actions for Violations.

If SWSC determines in its sole discretion that a Retailer has violated a provision of this MAP Policy and so notifies the Retailer, the MAP Policy will be strictly enforced and the following actions may be taken:

Any violations beyond the 3rd violation, regardless of format, can result in a lengthier or permanent placement on the Do Not Sell List, at SWSC’s sole discretion. In addition to the actions outlined above, SWSC may, at any time, suspend or decline to make further sales to any Retailer who violates any terms of this MAP Policy, if by nature SWSC believes its relationship with Retailer is no longer in the best interest of SWSC or its brands.


Not an Agreement. The MAP Policy is not an agreement, nor do any other agreements exist, between SWSC and any Retailer to comply with this MAP Policy. SWSC does not seek nor will it solicit or accept any Retailer’s agreement with the MAP Policy; nor will SWSC discuss any Retailer’s pricing or the pricing of others. The SWSC MAP Policy is a voluntary and unilateral policy to support and ensure the continued long-term premium positioning of the SWSC brands as well as the investment of legitimate Retailers who provide valuable education, sales and product assistance, and other services to their customers. Compliance with the MAP Policy is entirely within the discretion of the Retailer.

Do Not Sell List. This list may be updated from time to time and SWSC will not sell to any Retailers on this list. Any Distributor who sells to a Retailer on the Do Not Sell List will be deemed to have violated this MAP Policy, and SWSC, at its sole discretion, may suspend or decline to make further sales to such Distributors.

Implementation. To ensure consistent application and to avoid confusion among Retailers, SWSC has adopted the following procedures for implementation and enforcement of the MAP Policy:

  1. The MAP Administrator is responsible for implementation and enforcement of the MAP Policy. All questions concerning the MAP Policy shall be directed in writing to the MAP Administrator at brandprotection@smith-wesson.com. The MAP Administrator will be solely responsible for communicating with Retailers concerning advertising in violation of this MAP Policy.
  2. Sales personnel are not authorized to discuss enforcement or the terms of the MAP Policy with Retailers. Sales personnel receiving any inquiries, written or verbal, about the MAP Policy from a Retailer should advise the Retailer that they are not authorized to discuss enforcement or the terms of the MAP Policy; and encourage the Retailer to contact the MAP Administrator at brandprotection@smith-wesson.com.
  3. Sales personnel who otherwise become aware of advertising by Retailers in violation of this MAP Policy shall submit a written report identifying the offending Retailer, together with a copy of the offending advertisement, to the MAP Administrator at brandprotection@smith-wesson.com. Sales personnel are not otherwise authorized to communicate with the MAP Administrator concerning potential violations of the MAP Policy except in response to specific inquiries from the MAP Administrator.
  4. The MAP Administrator and SWSC sales personnel shall review the MAP Policy with the Legal Department on an annual basis and receive annual antitrust training in connection with that review.

Conclusion. This MAP Policy is vital to the protection of our brand integrity and will be vigorously enforced in an appropriate manner. 2024 SMITH & WESSON SUMMER FREEDOM DAYS REBATE


These 2024 SMITH & WESSON SUMMER FREEDOM DAYS REBATE terms and conditions (the “Terms & Conditions”) are by and between Smith & Wesson Brands, Inc. (“Smith & Wesson”) and the end user consumer purchaser (the “Purchaser” or “you”) of a Firearm (as defined hereafter) and pertains to the limited one time offer of either one (1) $50 USD prepaid card or one (1) $75 USD prepaid card (each a “Prepaid Card”) per each new eligible Smith & Wesson® firearm (each a “Firearm”) purchased between June 7, 2024 and August 18, 2024 (collectively the “Promotion”). Offer limited to one (1) rebate per Firearm purchased between June 7, 2024 and August 18, 2024. Notwithstanding anything herein to the contrary, for purposes of this Promotion, if the initial Firearm order is placed online, by phone, or via some other method that necessitates the Purchaser to receive such Firearm from a Federal Firearm Licensee (“FFL”) at a later date, the Firearm date of purchase will be deemed the date upon which such Firearm is actually conveyed to the Purchaser by said FFL and must fall between June 7, 2024 and August 18, 2024 to be eligible for this Promotion. Furthermore, the initial order must also occur between June 7, 2024 and August 18, 2024 to be eligible for this Promotion. See Appendix A & B for eligible Firearm SKU lists with applicable rebate value. Rebates may be redeemed either online or by mail. To redeem by mail, follow Steps 1 – 4 (below) to complete and submit a rebate coupon (each a “Coupon”). Coupons must be postmarked by September 18, 2024. To redeem online, visit https://www.swrebates.com. Any online submissions must occur by 11:59 pm ET on September 18, 2024. Please allow up to sixty (60) days for fulfillment of valid rebate submissions via a Prepaid Card*. Promotion valid only in the United States (excluding United States Territories) and excluding any jurisdiction (whether state or local) where prohibited in accordance with any and all applicable laws and regulations. Promotion valid only for those persons who are legally able to own and possess firearms in accordance with any and all applicable laws and regulations. Please review all applicable state and local laws and regulations before participating in this Promotion. Promotion valid only for actual purchases of new Firearms (used models will be denied) by end user consumer purchasers. This Promotion excludes any and all resellers and distributors of firearms, and any purchases by or on behalf of groups, organizations, businesses, or government agencies of any kind whatsoever. Smith & Wesson is not responsible for late, lost, mutilated, or otherwise misdirected mail. All counterfeit, unauthorized duplicates, or invalid coupons (including but not limited to incomplete, inaccurate or illegible coupons and/or missing required sales receipts), or claims that fail to include valid and legible proofs of purchase as specified in the submission instructions will be automatically rejected. For the avoidance of doubt, online invoices, shipping documents, shipping packing slips, and other such similar documents are not valid Dated Sales Receipts (as defined hereafter) for purposes of this Promotion. “Dated Sales Receipts” means valid receipts including the applicable store name that clearly identifies the Firearm(s) purchased. Only valid Dated Sales Receipts will be accepted for Promotion redemption, and must be submitted along with either the actual Firearm box label or a legible photo of the Firearm box label in accordance with the submission instructions provided below (collectively “Proof of Purchase”). If you return any of the eligible Firearms you purchased in this Promotion, you may be charged for the cost of any Prepaid Card received. Any corrections to a submitted claim that was initially rejected due to incomplete, inaccurate, or illegible submissions, or that failed to include a valid and legible Proof of Purchase must be submitted by September 18, 2024. No rebate claims, or requests to correct a previously submitted claim, will be accepted or considered after September 18, 2024. Fraudulent submissions could result in prosecution under the U.S. Mail Fraud Statutes (18 USC, Sections 1341-1342) or in accordance with other applicable law or regulation. Void where prohibited by law or regulation, subject to tax, or otherwise restricted. Smith & Wesson reserves the right to discontinue or change this Promotion at any time and for any reason without notice to the Purchaser. Should your Smith & Wesson firearm require service, it should be returned to Smith & Wesson in the blue carrying case or a similarly secure container (Do not ship in a presentation case). It is not necessary to take the gun to a dealer for shipment. However, before shipping your firearm, call or e-mail our Customer Support Dept. for authorization and shipping instructions. A return label will be sent to you for shipping your firearm back to us.

Before shipping your handgun, ensure that the firearm is unloaded and packaged securely. Do NOT ship any ammunition. The package must NOT bear any markings which indicate the identity of the contents. Enclose a letter which includes your full name and address (no P.O. Boxes, please), daytime telephone number, e-mail address, the serial number of the firearm, and details of the problem experienced (stating the brand and type of ammunition used when the problem occurred) or work desired. Record the serial number before shipping, in case you wish to check on the repair status of your firearm.

When shipping a firearm, it is most important that you comply with federal, state, and local laws and regulations. The following guidelines are meant to help, but you must seek assistance from the appropriate authorities if necessary. Check chambers to ensure that they are unloaded. Do not ship ammunition. Do not attempt to ship a handgun via US Postal Service; only federally licensed dealers may ship a firearm by US Postal Service. 

Since we cannot assume responsibility for custom parts and accessories, such as stocks, special sights, or holsters, please remove these items before returning your firearm.

Warranty repair work will begin upon receipt and examination of the firearm. In the case of repairs or work not covered by the warranty, a quotation covering the cost of the work plus round trip transportation charges will be sent to you. Repairs or modification will begin upon receipt of payment.

Smith & Wesson Partners with the Team One Network

Fredericksburg, VA, August 1, 2022 – Team One Network announced their collaboration with Smith & Wesson to provide Smith & Wesson armorer training on the S&W M&P and M2.0 pistol as well as the M&P 15 rifle to military and law enforcement personnel.

Smith & Wesson armorer courses taught by Team One Network will focus on nomenclature, field stripping and maintenance, safeties and safety checks, detailed disassembly, troubleshooting and minor repairs. All armorer courses will be 1 day/ 8-hour courses. Students will be provided with both the weapon and all required tools to complete the course. A S&W certified Pistol Mounted Optics Course is also available.

"Our team of armorer instructors have more than 100-years of combined armorer experience. Their passion for the firearms is rivaled only by their desire to train."

Team One Network has the ability to bring Smith & Wesson armorer training to any location for group or department training. They also welcome individuals to attend scheduled events across the country.

Smith & Wesson Armorer - Team One Network

M&P PISTOL ARMORER

This course is designed for Smith & Wesson M&P Centerfire Duty Pistols. Focus will be on nomenclature, field stripping and maintenance, safeties and safety checks, detailed disassembly, troubleshooting and minor repairs. Performing lessons repeatedly will insure good hands-on instruction for a better understanding of this firearm.

Course Length: 1 day/7 hours

Approximate class time 8:00AM – 4:30PM

 

M&P SHIELD ARMORER

This course is designed for Smith & Wesson M&P Shield Pistol. Focus will be on nomenclature, field stripping and maintenance, safeties and safety checks, detailed disassembly, troubleshooting and minor repairs. Performing lessons repeatedly will insure good hands-on instruction for a better understanding of this firearm. Students must attend the M&P Pistol Armorer course the day before to be able to register for this 4 hour course.

Course Length: 1 day/4 hours

Approximate class time 8:00AM – 12:00PM

 

M&P15 RIFLE ARMORER

This course is designed for Smith & Wesson M&P15 Centerfire Rifles and Carbines. Focus will be on nomenclature, field stripping and maintenance, safeties and safety checks, detailed disassembly of the upper assemblies and lower receivers, troubleshooting and minor repairs. Performing lessons repeatedly will ensure good hands-on instruction for a better understanding of this rifle.

Course Length: 2 days/14 hours

Approximate class time 8:00AM – 4:30PM

 

REVOLVER/J FRAME DAO REVOLVER ARMORER

This new 3 day course is designed for Smith & Wesson duty-type revolvers including the J Frame. It will focus on inspection, trouble shooting and repair techniques. Topics to be covered are disassembly, fitting of new parts and reassembly. Lessons will be performed on past designs first to expose the Armorer to revolver function and then present designs and repair techniques will be covered in depth to ensure confidence in revolver maintenance and repair.

Course Length: 3 days/21 hours

The prerequisite for attending a Smith & Wesson Academy class is that you are Active Law Enforcement (LE), Military, or Armed Security Service and acquiring these skills and certification to work on your department/unit/company firearms.

SMITH & WESSON CHARITY AUCTION GENERAL TERMS AND CONDITIONS

These GENERAL TERMS AND CONDITIONS (“Terms and Conditions”) apply to any use of the Auction Platform and each and every auction (“Auction”) conducted by or on behalf of Smith & Wesson Brands, Inc. or its affiliates (collectively “S&W” or the “Company”) of tangible or intangible property or goods (collectively “Items” and individually an “Item”). Persons who participate in an Auction are referred to in these Terms and Conditions as “Users” or “Bidders”. A User who submits the highest bid on an Auction is referred to in these Terms and Conditions as a “Winning Bidder”. Offers or bids submitted by any User in an Auction are referred to individually as a “Bid” and collectively as “Bids”. S&W, the website auction platform as operating by the contractor and all associated tools and serves are referred to in these Terms and Conditions as the “Platform” or the “Auction Service Software”. 1. POSTPONEMENT; DISPUTES

S&W reserves the right to postpone, extend, or cancel any Auction, bid, or items in any Auction at any time without prior notice. By using the Platform, you agree that in any dispute on or relating to the Platform or any Auction or Item or Bid, S&W has the exclusive authority to make binding and non-appealable decision(s) regarding any such dispute.

2. BUYING

Bids. A Bidder may request to have any bid removed prior to auction close. Once an auction closes, all bids are irrevocable, unless otherwise stated on the Auction page. S&W reserves the right to cancel any Bid for any reason at any time prior to the end of an Auction, or after the Auction pursuant to S&W’s confirmation of the purchase and sale. All Auctions are subject to confirmation by S&W, meaning that the Winning Bidder’s purchase of the Item(s) is subject to, and conditioned upon, S&W’s approval of the purchase and sale. If S&W choose not to approve the purchase and sale of the Item(s), S&W will refund the Deposit to the Winning Bidder.

Payment. Any and all payment terms, including but not limited to any premiums, defaults, relisting fees, deposits, and chargebacks, shall adhere to those terms and conditions as provided on the Platform.

3. AUCTIONS

Any and all terms pertaining to the auctions, including but not limited to reserve notices (if any) in accordance with UCC § 2-328 and applicable state law, counterbidding, and interest, shall adhere to those terms and conditions as provided on the Platform.

4. ITEM REPRESENTATION

Descriptions, photos and any other information given by S&W or any of its agents or representatives, is solely for informational purposes. S&W is not responsible for inaccurate photos, descriptions or information, express or implied. Users are encouraged to view items in person, when possible, and to do their own research and due diligence prior to bidding. All items in any Auction are sold “AS IS”, “WHERE IS”, and “WITH ALL FAULTS” with no warranty, express or implied, unless otherwise stated on the Auction in express terms.

USERS VIEW AUCTIONS AND SUBMIT BID(S) AT THEIR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER S&W NOR ANY OF ITS REPRESENTATIVES SHALL UNDER ANY CIRCUMSTANCES BE LIABLE TO ANY USER (INCLUDING WINNING BIDDERS) OR THIRD PARTY FOR ANY DAMAGES, INJURY, EXPENSES, LOSSES, CLAIMS, COSTS, OR LIABILITIES ARISING FROM OR RELATED TO THE USE OF THE PLATFORM, OR PARTICIPATION AS A USER OR SELLER IN ANY AUCTION OR RELATED IN ANY WAY TO THE PLATFORM. THE FOREGOING LIMITATION OF LIABILITY EXTENDS TO ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES. THIS PARAGRAPH SURVIVES ANY TERMINATION OF THESE TERMS AND CONDITIONS.

6. INDEMNIFICATION

You agree to indemnify, defend, and hold S&W and S&W’s Representatives harmless, including any and all damages, losses, costs, liabilities and legal fees, from any claim or demand made by any third party arising out of or relating to: (A) your access to or use of the Platform; (B) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (C) any violation of these Terms and Conditions. S&W reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to this indemnification, and you agree to cooperate in such defense. You agree not to settle any matter in which you have indemnity obligations without S&W’s prior written consent. This paragraph survives any termination of these Terms and Conditions

8. PROHIBITED USE

No User may use or access the Platform, or cause or allow the Platform to be used or accessed by any third party, in any way that violates these Terms and Conditions, including any use which:

  • Violates any applicable law;
  • Competes with S&W’s business, directly or indirectly, in S&W’s sole discretion;
  • Impairs the Platform or any S&W property, whether through transmission of software viruses, harmful files, or excessive use;
  • Interferes with any other User’s or S&W’s use of the Platform;
  • Threatens, harms, harasses, misleads or deceives others, including other Users or S&W;
  • Solicits personal information from any User;
  • Defames any other User or S&W;
  • Promotes illegal substances, pornography, discrimination or bigotry, or other information which S&W determines to be harmful to the Platform or S&W’s business or any Users;
  • Creates any derivative works of the Platform, or any other adaptation or modification of the Platform; or
  • Attempts to gain or gains unauthorized access to the Platform in any manner whatsoever.

9. LEGAL DISPUTES

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL HAVE A SUBSTANTIAL IMPACT ON HOW CLAIMS YOU AND S&W HAVE AGAINST EACH OTHER ARE RESOLVED.

You agree that any claim or dispute at law or equity that has arisen, or may arise, between you and S&W (including any claim or dispute between you and a third-party agent of S&W) that relates in any way to the Platform or arises out of this or previous versions of these Terms and Conditions, your use of or access to the Platform, the actions of S&W or its Representatives, or any products or services sold or purchased through the Platform, will be resolved in accordance with the provisions set forth in this Legal Disputes section.

  • Applicable Law. Except to the extent preempted or inconsistent by federal law, the laws of the state of Tennessee govern these Terms and Conditions and the Platform and any claim that has arisen or may arise from the same, without regard to conflict of laws principles.
  • Arbitration. You and S&W agree that any and all disputes or claims that have arisen, or may arise, between you and S&W or its Representatives that relate in any way to or arise out of this or previous versions of these Terms and Conditions, your use of or access to the Platform, the actions of S&W or its Representatives, or any products or services sold or purchased through the Platform shall be resolved exclusively through final and binding arbitration, rather than in court. Alternatively, you may assert your claims in small claims court, if your claims qualify and so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. The Federal Arbitration Act governs the interpretation and enforcement of this section.
  • YOU AND S&W AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, OR REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. UNLESS BOTH YOU AND S&W AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS. THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED CANNOT AFFECT OTHER USERS. If a court decides that applicable law precludes enforcement of any of this paragraph’s limitations as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court, subject to the right to appeal the court’s decision. All other claims will be arbitrated.
  • Procedures. An arbitrator should apply the terms of these Terms and Conditions as a court would. All issues are for the arbitrator to decide, except for issues related to the ability or requirement to arbitrate or the scope or enforcement of this section or these Terms and Conditions. The arbitration shall be conducted by the American Arbitration Association (“AAA”) under its rules and procedures determined by S&W. The AAA’s rules are available at www.adr.org.If you intend to seek arbitration, you must first send to S&W a written notice by certified mail specifying in detail the claim or claims you seek to arbitrate, including, without limitation, the date upon which the claim or claims were discovered, the alleged basis for such claim or claims, any and all relief sought, and any efforts prior to such written notice that were made in an effort to resolve the dispute. The notice must be sent to Smith & Wesson Brands, Inc., 1852 Proffitt Springs Road, Maryville, TN 37801 Attn: General Counsel (the “Notice Address”). If you and S&W are not able to resolve the claim or claims within sixty (60) days of the date of S&W ‘s receipt of the written notice, you or S&W may arbitrate the claim or claims. In addition to filing the appropriate forms with the AAA in accordance with its rules and procedures, you must mail a copy of the completed forms to S&W. You may send a copy to S&W at Notice Address. The arbitration will be held in Knox or Blount County, Tennessee unless another location is mutually agreed upon. The arbitrator will determine the substance of the claim or claims in accordance with the AAA rules and regulations and applicable law. The arbitrator shall not be bound by rulings in prior arbitrations involving any other User but is bound by any prior ruling including the same User who brought the instant arbitration claim or claims. The arbitrator’s award is final and binding and non-appealable, and judgment on the award rendered by the arbitrator may be entered in any court having proper jurisdiction.
  • Costs. All fees and costs related to any claim submitted to arbitration are governed by the AAA’s rules and regulations. In any arbitration arising out of or related to these Terms and Conditions, the arbitrator shall award to the prevailing party, if any, the costs and attorneys’ fees reasonably incurred by the prevailing party in connection with the arbitration. If the prevailing party won on some but not all of the claims and counterclaims, the arbitrator may award the prevailing party an appropriate percentage of the costs and attorneys’ fees reasonably incurred by the prevailing party in connection with the arbitration.
  • Forum. In the event that the above arbitration procedures are found not to apply to you or to a particular claim or claims or dispute, you agree that any claim or claims or dispute that arises or has arisen shall be subject to the exclusive jurisdiction of the state or federal courts in Knox or Blount County, Tennessee. You and S&W agree to submit to the personal jurisdiction of the courts located in Knox or Blount County, Tennessee for purposes of litigating any such claim or claims or disputes.
  • Survival. This section survives any termination of these Terms and Conditions.

10. AMENDMENT

S&W may amend these Terms and Conditions at any time by posting the amended Terms and Conditions on the Platform. Such amendment may include modification, addition or removal of terms in these Terms and Conditions. Your continued access and/or use of the Platform constitutes acceptance of any such amended Terms and Conditions. S&W may also request that you accept the Terms and Conditions affirmatively through the Platform.

11. SEVERABILITY

Except as otherwise provided in these Terms and Conditions, if any provision of the Terms and Conditions is held to be invalid, void or for any reason unenforceable, such provision shall be struck out and shall not affect the validity and enforceability of the remaining provisions.

12. AUTHORITY

If you create an account or use an account on the Platform on behalf of an entity, you represent and warrant that you are authorized to act on behalf of said entity and are able to bind such entity to these Terms and Conditions. By creating an account or using such an account on the Platform, you understand that S&W is relying on your representation and warranty by allowing the entity’s participation in Auctions and use of the Platform.

The creation of an account by and User for or on behalf of any other person is strictly prohibited. The use of any account by a person who is not the owner (or authorized agent, if the account is registered to an entity) of such account is strictly prohibited. S&W may terminate your ability and/or the account holder’s ability to use the Platform or participate in Auctions, or cancel any Bids placed by you or the account holder (under the same account or otherwise) for violation of the terms and conditions in this section.

13. PRIVACY POLICY

These Terms and Conditions are subject to the S&W Privacy Policy which is incorporated herein via reference and which can be found at Privacy Policy | Smith & Wesson (smith-wesson.com).

14. FIREARM PURCHASE ADDITIONAL TERMS

It is the Bidder's responsibility to follow all Federal, State, and Local Laws. All firearms MUST be picked up by the BIDDER (ACTUAL INDIVIDUAL PLACING BID ON FIREARM) at your chosen Independent Firearms Dealer ("FFL"). S&W will make reasonable attempts to contact the winning Bidder within a reasonable period of time after the end of the Auction with a certificate identifying them as the Winning Bidder and to verify Bidder information and receive FFL information.  S&W is not responsible for incorrect information provided by the Bidder through the Auction service software, and reserves the right to contact the next highest Bidder in the event that the highest Bidder cannot be reached after reasonable attempts are made to contact them, and so on until a Bidder is contacted. A valid U.S. and/or state government issued identification document, or combination of government issued documents, which reflect the buyer’s current residential address must be presented at the selected FFL location prior to the completion of any firearm-related paperwork and background check initiation. The Bidder must be 18 years of age or older to purchase rifles and/or shotguns. The actual purchaser must be 21 years of age or older to purchase handguns and/or firearm receivers, frames, silencers, or pistol-grip only firearms. Certain states have stricter laws regarding a firearm buyer’s age and S&W complies with such requirements.

For any additional questions pertaining to waiting periods, the background check process, and/or the firearm transfer process, please consult the firearm laws of the state where your desired FFL is located as well as your home state, county, and city. For your reference, please consult the following publications: ATF Federal Firearms Regulations Reference Guide and ATF State Laws and Published Ordinances - Firearms. FFL fees for firearms transfers will vary; please consult your selected FFL for additional information.

  • BY PLACING A BID THROUGH THE AUCTION SERVICE SOFTWARE, I CERTIFY THAT I AM THE ACTUAL TRANSFEREE/BIDDER (PURCHASER) OF THE FIREARM(S) SHOULD MY BID BE SELECTED AS THE HIGHEST, AND S&W WILL ONLY TRANSFER THE FIREARM(S) TO THE BIDDER SELECTED FFL ON BEHALD OF THE ACTUAL BIDDER WITH VALID U.S. IDENTIFICATION IN ACCORDANCE WITH S&W POLICIES, ALL FEDERAL, STATE, AND LOCAL LAWS AND REGULATIONS.

PRIVACY POLICY

EFFECTIVE: January 1, 2023

This Privacy Notice and Policy (this “Policy”) describes how SMITH & WESSON BRANDS, INC., (formerly AMERICAN OUTDOOR BRANDS CORPORATION) and its subsidiaries and corporate affiliates, (collectively ”we”, “us”, “our”, “Smith & Wesson”, or “SMITH & WESSON BRANDS, INC.”) collect and use personal information when you use, access, or respond to our websites as well as any online applications; mobile applications; e-mail; telephone inquiries; sweepstakes, contest and rebate submissions; product and warranty registrations; newsletters; forums; posts; comments; surveys; and the like; and the websites and applications maintained and operated by our third-party contractors (collectively, the “Services”); or when you visit our facilities and properties. Please note that special terms and conditions apply to individuals who are residents of the states of California or Virginia as indicated in Sections 10 and 11 of this Policy. As a result, certain provisions of this Policy may not apply to you.

1. INFORMATION WE COLLECT

Through your use of our Services or access to our facilities or properties we collect personal information, which is information that identifies you as an individual, relates to you as an identifiable individual, or that, along with other information, could identify you. In the preceding twelve months, we collected the following types of personal information:

(I) INFORMATION YOU PROVIDE TO US

We collect personal information from you when you use our Services. We do not require you to provide any personal information in order to navigate our websites. We collect information from you when (1) you provide it voluntarily to us in response to a request for such information, and (2) automatically by means which are part of the applications needed to provide the Services to you. For example, we may request your identifiers, such as: your name, age (birthdate), gender, company name, mailing and billing addresses, e-mail addresses, phone numbers, and zip codes.  We also collect financial information such as credit card information.  We collect commercial information including products or services purchased, obtained, or considered, and purchasing or consuming histories or tendencies. We may also collect other information that you submit in connection with our Services, including product reviews, sweepstakes or contest entries, consumer rebate submissions, product or warranty registration, and other similar information. Information obtained automatically through application usage consists primarily of anonymous usage statistics, but also includes first- and third-party “Cookies” (as defined hereafter). For proper functionality of the Services, a minimum of anonymous usage data and first-party Cookies are required to be collected.

We collect personal information from you when you access our facilities or properties.  We require visitors to our facilities and properties to provide a valid, government-issued photo identification document. Such documents will include your likeness (photograph), and may also include your name, age (birthdate), gender, mailing address, business address, employer, identification number (such as license or passport number), biographical information (such as height, weight, eye color, hair color, fingerprints, etc.), and signature. We also require visitors to read and sign a Visitor Certification.

(II)INFORMATION WE GET FROM THIRD PARTIES

We use third-party contractors (which includes, for example, service providers, licensees, and industry partners) to help us provide our Services.  As part of these activities we obtain information collected by our third-party contractors such as: website or application visitor activity, eCommerce conversions, sweepstakes or contest participation, campaign tracking, consumer rebate submissions, product or warranty registration, and other similar information.

We may provide links to social media platforms such as Facebook and Instagram. These third-party applications may collect information about your IP address, and they may set Cookies for the purposes these third-party contractors have described in their privacy policies.  Your interaction with those applications is governed by the privacy policies of the companies that provide them, and not by this Policy.

(III) INFORMATION COLLECTED AUTOMATICALLY

We may, directly or indirectly (through a third party), collect internet or electronic network activity about you and your use of our Services whenever you use the Services.  For example, we may collect information about your IP address, your user behavior (e.g., click activity), Services traffic statistics, operating system, and browser type. This data generally does not personally identify you and is automatically collected (as third-party Cookies) when you use our Services. This anonymous information is helpful for marketing purposes and improving our Services.

“Cookies” are small pieces of information that are stored by your web browser software on your computer’s hard drive or temporarily in your computer’s memory.   • Provide Customer Support: to provide you support or other services you request. For example, we may need your information in order to provide technical support or answer questions about our Services and products.
  • To maintain and improve our Services: We analyze how our users interact with our Services in order to maintain and improve our Services. We also use information that we collect to diagnose any problems with our Services.
  • Benchmarking: We aggregate your information in order to gain insights into our Services.

In our processing of your information, we also share your personal information to defend our rights and the rights of others, to efficiently maintain our business, and to comply with the law as described in this Policy.

3. HOW WE SHARE INFORMATION

  • Third-Party Contractors: We share information with third-party contractors that help us perform functions related to our Services and process your transactions, including, but not limited to conducting product reviews or surveys, administering sweepstakes or contests, processing consumer rebate submissions, processing product or warranty registrations, placing orders, delivering packages, analyzing and maintaining data, and other similar functions.  These third-party contractors will only use your personal information for the purposes required to perform their functions.
  • Marketing: We may share your anonymous marketing information with Internet search engines (e.g., Google Analytics) and social media platforms (e.g., Facebook and Instagram) for re-marketing purposes.
  • Corporate Structure: We would share information if we are involved or intend to be involved in a merger, acquisition, consolidation, change of control, or sale of all or a portion of our assets or in connection with bankruptcy or liquidation proceedings.

  • To Protect Our Rights and As Required by Law: We will share information where we are legally required to do so, such as in response to court orders or legal process, to exercise our legal rights, to defend against legal claims or demands, or to comply with the requirements of any mandatory applicable law. We will also share information as necessary to enforce the Terms and any other terms that you have agreed to, including to protect the rights, property, or safety of SMITH & WESSON BRANDS, INC., its users, or any other person, or the copyright-protected content of the Services.
  • Ensure authorized visitors to our facilities and properties are properly screened in accordance with our security procedures, facilities access agreements, and applicable law.
  • With your consent: We will request your permission to use or share your personal information for a specific purpose that is not compatible with the purposes listed here. We will notify you and request consent before you provide the personal information or before the personal information you have already provided is shared for such purpose.

The security of your personal information is important to us. We maintain reasonable physical, technical, and administrative security measures to protect and limit access to your personal information. No method of transmission over the Internet or electronic storage technology is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

5. CHOICES ABOUT YOUR INFORMATION

(I) ACCESS, CORRECT OR DELETE YOUR INFORMATION

You may use your account to access or correct the information you provided to us and which is associated with your account by contacting us by mail at Smith & Wesson Brands, Inc. Please include your name, mailing address and e-mail address when you contact us. You must describe the information that you want to access, remove, correct, or modify in sufficient detail to allow us to locate that information in our records. We may require you to verify your identity before allowing you to access, remove, correct, or modify your Personally Identifiable Information. Please note that a request to remove or modify information may prevent us from providing certain products or services to you. We will not remove or modify information associated with your prior purchase or registration of a product.

Even if you terminate your account, keep in mind that deletion of your personal information by our third-party contractors may not be immediate and that deleted personal information may persist in backup copies for a reasonable period of time and as required by applicable laws and regulations. See: HOW LONG DO WE KEEP YOUR INFORMATION. In the event that we refuse a request under rights of access, we will provide the individual with a reason as to why. Individuals residing in the EU, or in the states of California or Virginia, also have the rights described in RIGHTS OF RESIDENTS IN THE EUROPEAN UNION (EU).

We take no action in response to “Do Not Track” requests received from user’s web browsing software.

6. HOW LONG DO WE KEEP YOUR INFORMATION

We cannot respond to your request or provide you with Personal Information if we cannot verify your identity. Making a verifiable consumer request does not require you to create an account with us. We will only use Personal Information provided in your request to verify your identity and will delete any information you provide after processing the request. SMITH & WESSON BRANDS, INC. makes no representation concerning the lack of any viruses or other harmful components on any Third-Party Vendor website or social media platform or pages to which our Services link, and SMITH & WESSON BRANDS, INC. shall have no liability resulting from your use of any such Third-Party Vendor website or social media platform or pages. The Services may, from time to time, provide a bulletin board service, chat areas, news groups, forums, communities, personal pages, calendars, or other message or social media services as a convenience for Users. SMITH & WESSON BRANDS, INC. assumes no obligation to monitor the contents on the Services but reserves the right to refuse to accept and to remove any posting at any time. You agree not to post any information, content, or materials that violate intellectual property laws, that are obscene, pornographic, defamatory, violent, harassing, or that otherwise violate applicable laws or community standards, that solicit or promote any illegal activity, or that do not pertain to the specific subject matter of the social medium, all as determined by SMITH & WESSON BRANDS, INC. in its sole and absolute discretion.

You acknowledge and agree that by providing you with the ability to view and distribute User generated content on any social medium, SMITH & WESSON BRANDS, INC. is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any content or activity on the social medium. SMITH & WESSON BRANDS, INC. reserves the right to block or remove communications or materials that it determines, in its sole discretion, to be (a) abusive, harassing, threatening, violent, defamatory, pornographic, or obscene; (b) fraudulent, deceptive, or misleading; (c) in violation of a copyright, trademark, or other intellectual property right of another; (d) in violation of any law or regulation; (e) advertisements or offers to sell or buy any goods or services; (f) surveys, contests, pyramid schemes, or chain letters; (g) viruses, corrupted files, spyware, harvesters, or any software, application, or program that is intended to spy upon or damage the operation of a computer or collect information about others; (h) offensive or otherwise unacceptable to SMITH & WESSON BRANDS, INC. in its sole and absolute discretion.

You acknowledge that any information and materials posted on the Services are subject to use by SMITH & WESSON BRANDS, INC. free of charge in connection with operating the Services and promoting our business without further notification to or permission by you. By posting information and/or materials to the Services or otherwise providing them to SMITH & WESSON BRANDS, INC., you: (i) grant SMITH & WESSON BRANDS, INC. a world-wide, perpetual, irrevocable, transferable, sub-licensable, royalty-free, non-exclusive, and unrestricted license to copy, reproduce, adapt, transmit, edit, modify, or otherwise use, publicly display, distribute, translate and create compilations and derivative works from, any and all such information and materials (in any format or media); and (ii) waive all moral rights in and to all such information and materials in favor of SMITH & WESSON BRANDS, INC.. By posting any information and/or materials to the Services or otherwise providing them to SMITH & WESSON BRANDS, INC., you represent and warrant that such information and materials: 1) are original to you and that you have obtained all necessary rights in and to such information and materials to post, upload, or otherwise submit it; 2) does not violate any law; and 3) complies with this Agreement.

SMITH & WESSON BRANDS, INC. strives to maintain the security of information provided in connection with the Services but cannot guarantee the security of any such information, and to the maximum extent permitted by law, SMITH & WESSON BRANDS, INC. shall not be responsible for any disclosure or compromise of User information. Further, you are responsible for maintaining the security of any passwords or other access keys provided to or selected by you for any restricted pages of the Services. We have no obligation to store or maintain any information provided by or on behalf of you. Any personal information we collect will be subject to our Privacy Notice and Policy as may be modified from time to time. 6. CHANGES TO THE SERVICES; LIMITATION OF AVAILABILITY.

At any time and for any reason in our sole discretion, we may modify or discontinue any aspect or feature of the Services, including content, pages, social media, functionality, hours of availability, pricing, registration requirements, the domain name addresses through which the Services are accessible, or the equipment needed for the use of the Services. The availability of the Services are subject to periodic downtime for maintenance and repairs and are subject to interruption due to causes beyond our reasonable control, including computer viruses, failure of telecommunication links, or failure of Internet infrastructure. You acknowledge and agree that we shall not be responsible for any interruptions of the availability of the Services.

7. EXCLUSIVE USER REMEDY; TYPOGRAPHICAL ERRORS.

In the event that you are dissatisfied with any aspect of the Services, your sole remedy shall be to discontinue use of the Services. The content of the Services may contain errors, omissions or typographical errors. SMITH & WESSON BRANDS, INC. shall not be liable for any such errors. In the event that a product, service, or price is listed incorrectly due to an inaccuracy, typographical error, or error in pricing information, SMITH & WESSON BRANDS, INC. shall not be liable to you for any claim whatsoever arising from the inaccuracy and shall have the right to refuse or cancel any orders placed for product or service(s) listed at the incorrect price. 10. PROPRIETARY RIGHTS; RESTRICTIONS.

You acknowledge and agree that the Services’ content, design, code, underlying technology and related items are proprietary to SMITH & WESSON BRANDS, INC. (or our licensors and vendors if applicable) and protected by U.S., Canadian, and international copyright laws, trade secret laws, trademark laws and other laws. The posting of content on the Services by SMITH & WESSON BRANDS, INC. or our subsidiaries and affiliates does not constitute a waiver of any right in such content. This Agreement does not provide you with any right or interest in our proprietary rights related to the Services or otherwise, and all such rights shall continue to be owned by SMITH & WESSON BRANDS, INC. (or our licensors or vendors if applicable). Except to the extent express written permission is given to you by SMITH & WESSON BRANDS, INC., you shall not copy, reproduce or otherwise duplicate the Services or their content, in whole or in part, or access or attempt to access any of our systems, programs, data, code, underlying technology, or content that is not made available for public use, or use any content on the Services other than for their intended purpose. Permission is hereby given to you to view, print or download information on the Services that is made available by SMITH & WESSON BRANDS, INC. for public viewing, printing or downloading, for your own personal, non-commercial, informational use and not for republication, distribution, sale, transfer, preparation of derivative works or other use. Placing links to our websites on other sites is prohibited absent SMITH & WESSON BRANDS, INC.’s permission. 11. CHOICE OF LAW AND FORUM; ATTORNEYS' FEES; INDEMNIFICATION.

For Users who are not an individual resident in the province of Quebec, this Agreement shall be governed exclusively by its terms and by the laws of the United States and the Commonwealth of Massachusetts as applied to contracts entered into in Massachusetts between Massachusetts residents without regard to the state's rules concerning choice of law. You hereby expressly consent and agree to exclusive jurisdiction and venue in Hampden County, Massachusetts with respect to any litigation arising out of or relating to this Agreement, provided that we may bring an action to enforce our rights in any forum having jurisdiction. In the event we are required to incur any attorneys’ fees, costs or other expenses in connection with enforcing or defending our rights under this Agreement, you shall reimburse us for such attorneys' fees, costs and expenses. User agrees to indemnify SMITH & WESSON BRANDS, INC. against any and all claims, actions, costs and expenses, including attorneys' fees, arising from the User's use of the Services or breach of this Agreement.

12. OTHER PROVISIONS.

In the event that any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall continue in full force and effect, and the provision held to be invalid or unenforceable shall be automatically amended to most closely approximate the original provision on terms that are valid and enforceable and the court or other adjudicating authority holding such provision invalid or unenforceable shall make such amendment accordingly. This Agreement shall control over any conflicting documents or information, including information on the Services. We may modify the terms of this Agreement from time to time by posting changes to this Agreement on smith-wesson.com. No provision of this Agreement may be amended, modified or waived except as provided in the foregoing sentence. You agree to review this Agreement from time to time and comply with any changes. Any use of the Services after our posting of any such changes shall constitute your acceptance of this Agreement as modified. The terms of this Agreement constitute the mutual agreement of the parties and shall be construed neutrally and not for or against either party. Any rights not expressly granted to User in this Agreement are reserved by SMITH & WESSON BRANDS, INC.

13. ADDITIONAL MOBILE SERVICE PROVISIONS.

SMITH & WESSON BRANDS, INC. offers its customers mobile alerts regarding sale promotions, event information, product launch announcements, cart reminders, back in stock alerts, price drop alerts, low inventory alerts by SMS message (the "Mobile Service") on 39123. By participating in the Mobile Service, in addition to this Agreement taken together as a whole, you are specifically agreeing to these Additional Mobile Service Provisions (together the “Terms”).

Signing Up and Opting-In to the Mobile Service 

Enrollment in the Mobile Service requires you to provide your mobile phone number and to agree to these Terms. You may not enroll if you are under eighteen (18) years old. Before the Mobile Service starts, you will need to agree to these Terms. Smith and Wesson reserve the right to stop offering the Mobile Service at any time with or without notice. 

By opting into the Mobile Service, you: 

Authorize Smith and Wesson to use auto dialer or non-auto dialed technology to send recurring text messages to the mobile phone number associated with your opt-in (i.e., the number listed on the opt-in form or, if none, the number from which you send the opt-in, or, if none, the number on file for the account associated with your opt-in); 

Acknowledge that you do not have to agree to receive messages as a condition of purchase; 

Confirm that you are the subscriber to the relevant phone number or that you are the customary user of that number on a family or business plan and that you are authorized to opt in; and 

Consent to the use of an electronic record to document your opt-in. To request a free paper or email copy of the opt-in or to update our records with your contact information, please contact 800-331-0852 or website@smith-wesson.com. To view and retain an electronic copy of these Terms or the rest of your opt-in, you will need (i) a device (such as a computer or mobile phone) with Internet access, and (ii) and either a printer or storage space on such device. For an email copy, you'll also need an email account you can access from the device, along with a browser or other software that can display the emails.

Charges and Carriers

Message and data rates may apply. Please consult your service agreement with your wireless carrier or contact your wireless carrier to determine your phone's pricing plan and the charges for sending and receiving text messages. You acknowledge that you are responsible for any message, data or other charges incurred (usage, subscription, etc.) as a result of using the Mobile Service. 

Supported carriers are T-Mobile, Verizon Wireless, Sprint, Boost, Virgin Mobile, U.S. Cellular, Cricket, Alltel, Cincinnati Bell, Cellcom, C-Spire, nTelos, MetroPCS, AT&T, and other smaller regional carriers. The Mobile Service may not be available on all wireless carriers. Smith and Wesson may add or remove any wireless carrier from the Mobile Service at any time without notice. Smith and Wesson and mobile carriers are not responsible for any undue delays, failure of delivery, or errors in messages. 

To Stop the Mobile Service 

To stop receiving text messages from Smith and Wesson, text the word STOP to 39123 any time or reply STOP to any of the text messages you have received from Smith and Wesson. After texting STOP to 39123, you will receive one additional message confirming that your request has been processed.

Smith & Wesson CEO Issues Strong Statement in the Face of 2nd Amendment Attacks

Amid an unprecedented and unjustified attack on the firearm industry, Smith & Wesson Brands, Inc. President & CEO Mark Smith responded Monday with the following statement:

“A number of politicians and their lobbying partners in the media have recently sought to disparage Smith & Wesson. Some have had the audacity to suggest that after they have vilified, undermined and defunded law enforcementfor years, supported prosecutors who refuse to hold criminals accountable for their actions, overseen the decay of our country’s mental health infrastructure, and generally promoted a culture of lawlessness, Smith & Wesson and other firearm manufacturers are somehow responsible for the crime wave that has predictably resulted from these destructive policies. But they are the ones to blame for the surge in violence and lawlessness, and they seek to avoid any responsibility for the crisis of violence they have created by attempting to shift the blame to Smith & Wesson, other firearm manufacturers and law-abiding gun owners.

It is no surprise that the cities suffering most from violent crime are the very same cities that have promoted irresponsible, soft-on-crime policies that often treat criminals as victims and victims as criminals. Many of these same cities also maintain the strictest gun laws in the nation. But rather than confront the failure of their policies, certain politicians have sought more laws restricting the 2nd Amendment rights of law-abiding citizens, while simultaneously continuing to undermine our institutions of law and order. And to suppress the truth, some now seek to prohibit firearm manufacturers and supporters of the 2nd Amendment from advertising products in a manner designed to remind law-abiding citizens that they have a Constitutional right to bear arms in defense of themselves and their families.

To be clear, a Smith & Wesson firearm has never broken into a home; a Smith & Wesson firearm has never assaulted a woman out for a late-night run in the city; a Smith & Wesson firearm has never carjacked an unsuspecting driver stopped at a traffic light.

Instead, Smith & Wesson provides these citizens with the means to protect themselves and their families.

CODE OF CONDUCT DISCLOSURE

On July 12, 2017, we established the following Supplier Code of Conduct for all suppliers to adhere to when conducting business with and/or on behalf of Smith & Wesson Brands, Inc. (“SWBI”) and its subsidiaries (each including SWBI a “Company”).  Suppliers must be able to demonstrate compliance with the principles noted within the Supplier Code of Conduct at the request of and to the Company’s satisfaction.  These requirements are a part of all agreements between the Company and its direct and authorized suppliers.  We expect our Suppliers to develop and implement appropriate internal business processes to ensure compliance with the Company’s standards.

  1. LEGAL AND REGULATORY COMPLIANCE

    All SWBI Suppliers must conduct their business activities in full compliance with the applicable laws and regulations while conducting business with and/or on behalf of the Company, and must, without limitation:

     Trade: Comply with all applicable trade controls, as well as all applicable export, re-export, and import laws and regulations, including but not limited to ITAR.

     Antitrust: Conduct business in full compliance with antitrust and fair competition laws that govern the jurisdictions in which they conduct business.

     Boycotts: Not participate in international boycotts that are not sanctioned by the United States (U.S.) government or applicable laws.

     Anti-Corruption: Not participate in bribes or kickbacks of any kind, whether in dealings with public officials or individuals in the private sector. SWBI is committed to observing the standards of conduct set forth in the U.S. Foreign Corrupt Practices Act (“FCPA”) and the anti-corruption and anti-money laundering laws of the countries in which the Company operates. Suppliers must comply with all applicable anti-corruption and anti-money laundering laws, including the FCPA, as well as laws governing lobbying, gifts, and payments to public officials, political campaign contribution laws, and other related regulations. Suppliers must not, directly or indirectly, offer or pay anything of value (including travel, gifts, hospitality expenses, and charitable donations) to any official or employee of any government, government agency, political party, public international organization, or any candidate for political office to (i) improperly influence any act or decision of the official, employee, or candidate for the purpose of promoting the business interests of the Company in any respect, or (ii) otherwise improperly promote the business interests of the Company in any respect.

    Comply with applicable Company policies as well as the terms of any contract with the Company.
     
  2. BUSINESS PRACTICES AND ETHICS

    SWBI Suppliers must conduct their business interactions and activities with integrity and must, without limitation:

     Business Records: Honestly and accurately record and report all business information and comply with all applicable laws regarding their completion and accuracy. Create, retain, and dispose of business records in full compliance with all applicable legal and regulatory requirements. Be honest, direct, and truthful in discussions with regulatory agency representatives and government officials.

     Press: Speak to the press on behalf of the Company only if the Supplier is expressly authorized in writing to do so by SWBI.

     Gifts: Avoid gifts to Company employees because even a well-intentioned gift might constitute a bribe under certain circumstances, or create conflicts of interest. Do not offer anything of value to obtain or retain a benefit or advantage for the giver, and do not offer anything that might appear to influence, compromise judgment, or obligate the SWBI employee. If offering a gift, meal, or entertainment to SWBI employees, always use good judgment, discretion, and moderation. Any gift from a Supplier must be permissible under the policy of the Company employee’s business unit, because the Company business and regional policies may prohibit gifts entirely or set maximum gift value limits at varying amounts. Any gifts, meals, or entertainment must comply with applicable law, must not violate the giver’s and/or recipient’s policies on the matter, and must be consistent with local custom and practice. Suppliers are not allowed to give gifts of any value to any member of the Procurement Department or its representatives.

     Conflicts of Interest: Avoid the appearance of or actual improprieties or conflicts of interests. Suppliers must not deal directly with any Company employee whose spouse, domestic partner, or other family member or relative holds a significant financial interest in the Supplier. In the course of negotiating the Supplier agreement or performing the Supplier’s obligations, dealing directly with a Supplier personnel’s spouse, domestic partner, or other family member or relative employed by the Company is also prohibited.

     Insider Trading: Avoid insider trading by not buying or selling SWBI or another company’s securities when in possession of information about the Company or another company that is not available to the investing public and that could influence an investor’s decision to buy or sell the security.
     
  3. LABOR

    Suppliers are committed to uphold the human rights of workers, and to treat them with dignity and respect as understood by the international community. This applies to all workers including temporary, migrant, student, contract, direct employees, and any other type of worker.

    The labor standards are:

     Freely Chosen Employment: Forced, bonded (including debt bondage) or indentured labor, involuntary prison labor, slavery or trafficking of persons shall not be used. This includes transporting, harboring, recruiting, transferring or receiving persons by means of threat, force, coercion, abduction or fraud for labor or services. There shall be no unreasonable restrictions on workers’ freedom of movement in the facility in addition to unreasonable restrictions on entering or exiting company-provided facilities. As part of the hiring process, workers must be provided with a written employment agreement in their native language that contains a description of terms and conditions of employment prior to the worker departing from his or her country of origin. All work must be voluntary and workers shall be free to leave work at any time or terminate their employment. Employers and agents may not hold or otherwise destroy, conceal, confiscate or deny access by employees to their identity or immigration documents, such as government-issued identification, passports or work permits, unless such holdings are required by law. Workers shall not be required to pay employers’ or agents’ recruitment fees or other related fees for their employment. If any such fees are found to have been paid by workers, such fees shall be repaid to the worker.

     Young Workers: Child labor is not to be used in any stage of manufacturing. The term “child” refers to any person under the age of 15, or under the age for completing compulsory education, or under the minimum age for employment in the country, whichever is greatest. The use of legitimate workplace learning programs, which comply with all laws and regulations, is supported. Workers under the age of 18 (Young Workers) shall not perform work that is likely to jeopardize their health or safety, including night shifts and overtime. Participant shall ensure proper management of student workers through proper maintenance of student records, rigorous due diligence of educational partners, and protection of students’ rights in accordance with applicable law and regulations. Participant shall provide appropriate support and training to all student workers. In the absence of local law, the wage rate for student workers, interns and apprentices shall be at least the same wage rate as other entry-level workers performing equal or similar tasks.

     Working Hours: Studies of business practices clearly link worker strain to reduced productivity, increased turnover and increased injury and illness. Workweeks are not to exceed the maximum set by local law. Further, a workweek should not be more than 60 hours per week, including overtime, except in emergency or unusual situations. Workers shall be allowed at least one day off every seven days.

     Wages and Benefits: Compensation paid to workers shall comply with all applicable wage laws, including those relating to minimum wages, overtime hours and legally mandated benefits. In compliance with local laws, workers shall be compensated for overtime at pay rates greater than regular hourly rates. Deductions from wages as a disciplinary measure shall not be permitted. For each pay period, workers shall be provided with a timely and understandable wage statement that includes sufficient information to verify accurate compensation for work performed. All use of temporary, dispatch and outsourced labor will be within the limits of the local law.

     Humane Treatment: There is to be no harsh and inhumane treatment including any sexual harassment, sexual abuse, corporal punishment, mental or physical coercion or verbal abuse of workers; nor is there to be the threat of any such treatment. Disciplinary policies and procedures in support of these requirements shall be clearly defined and communicated to workers.

     Non-Discrimination: Suppliers should be committed to a workforce free of harassment and unlawful discrimination. Companies shall not engage in discrimination based on race, color, age, gender, sexual orientation, gender identity and expression, ethnicity or national origin, disability, pregnancy, religion, political affiliation, union membership, covered veteran status, protected genetic information or marital status in hiring and employment practices such as wages, promotions, rewards, and access to training.

    Workers shall be provided with reasonable accommodation for religious practices. In addition, workers or potential workers should not be subjected to medical tests or physical exams that could be used in a discriminatory way.

     Freedom of Association: In conformance with local law, Suppliers shall respect the right of all workers to form and join trade unions of their own choosing, to bargain collectively and to engage in peaceful assembly as well as respect the right of workers to refrain from such activities. Workers and/or their representatives shall be able to openly communicate and share ideas and concerns with management regarding working conditions and management practices without fear of discrimination, reprisal, intimidation or harassment.
     
  4. HEALTH and SAFETY

    Suppliers recognize that in addition to minimizing the incidence of work-related injury and illness, a safe and healthy work environment enhances the quality of products and services, consistency of production and worker retention and morale. Suppliers also recognize that ongoing worker input and education is essential to identifying and solving health and safety issues in the workplace. Recognized management systems such as OHSAS 18001 and ILO Guidelines on Occupational Safety and Health were used as references in preparing the Code and may be a useful source of additional information.

    The health and safety standards are:

     Occupational Safety: Worker exposure to potential safety hazards (e.g., electrical and other energy sources, fire, vehicles, and fall hazards) are to be controlled through proper design, engineering and administrative controls, preventative maintenance and safe work procedures (including lockout/tagout), and ongoing safety training. Where hazards cannot be adequately controlled by these means, workers are to be provided with appropriate, well-maintained, personal protective equipment and educational materials about risks to them associated with these hazards. Workers shall be encouraged to raise safety concerns.

     Emergency Preparedness: Potential emergency situations and events are to be identified and assessed, and their impact minimized by implementing emergency plans and response procedures including: emergency reporting, employee notification and evacuation procedures, worker training and drills, appropriate fire detection and suppression equipment, adequate exit facilities and recovery plans. Such plans and procedures shall focus on minimizing harm to life, the environment and property.

     Occupational Injury and Illness: Procedures and systems are to be in place to prevent, manage, track and report occupational injury and illness including provisions to: encourage worker reporting; classify and record injury and illness cases; provide necessary medical treatment; investigate cases and implement corrective actions to eliminate their causes; and facilitate return of workers to work.

     Industrial Hygiene: Worker exposure to chemical, biological and physical agents is to be identified, evaluated, and controlled. Engineering or administrative controls must be used to control overexposures. When hazards cannot be adequately controlled by such means, worker health is to be protected by appropriate personal protective equipment programs.

     Physically Demanding Work: Worker exposure to the hazards of physically demanding tasks, including manual material handling and heavy or repetitive lifting, prolonged standing and highly repetitive or forceful assembly tasks is to be identified, evaluated and controlled.

     Machine Safeguarding: Production and other machinery shall be evaluated for safety hazards. Physical guards, interlocks and barriers are to be provided and properly maintained where machinery presents an injury hazard to workers.

     Sanitation, Food, and Housing: Workers are to be provided with ready access to clean toilet facilities, potable water and sanitary food preparation, storage, and eating facilities. Worker dormitories provided by the Participant or a labor agent are to be maintained to be clean and safe, and provided with appropriate emergency egress, hot water for bathing and showering, adequate heat and ventilation, and reasonable personal space along with reasonable entry and exit privileges.

     Health and Safety Communication: Participant shall provide workers with appropriate workplace health and safety training in their primary language. Health and safety related information shall be clearly posted in the facility.
     
  5. ENVIRONMENTAL REGULATIONS AND PROTECTION

    The Company recognizes its social responsibility to protect the environment and expects its Suppliers to share its commitment by working toward protecting the environment. As a part of this commitment, all SWBI Suppliers must, without limitation:

    • Comply with all applicable environmental laws and regulations regarding hazardous materials, air emissions, waste, and wastewater discharges, including the manufacture, transportation, storage, disposal, and release to the environment of such materials.

    • Endeavor to reduce or eliminate waste of all types, including water and energy, by implementing appropriate conservation measures in their facilities, through their maintenance and production processes, and by recycling, re-using, or substituting materials.

    • Obtain, maintain, and keep current all required environmental permits and registrations and follow the operational and reporting requirements of such permits.

    • If applicable, identify the chemicals or other materials being released that pose a threat to the environment and manage them appropriately to ensure their safe handling, movement, storage, use, recycling, or reuse and disposal.
     
  6. PROTECTION OF ASSETS AND INTELLECTUAL PROPERTY

    Protection of intellectual property rights is vital for any company. The Company depends on intellectual property such as information, processes and technology. All SWBI Suppliers must, without limitation:

    • Respect and protect the intellectual property rights of all parties by only using information technology and software that has been legitimately acquired and licensed. Use software, hardware, and content only in accordance with their associated licenses or terms of use.

    • Protect and responsibly use the physical and intellectual assets of the Company, including intellectual property, tangible property, supplies, consumables, and equipment, when authorized by the Company to use such assets.

    • Use the Company-provided information technology and systems (including email) only for authorized SWBI business-related purposes. The Company strictly prohibits Suppliers from using SWBI-provided technology and systems to (i) create, access, store, print, solicit, or send any material that is intimidating, harassing, threatening, abusive, sexually explicit or otherwise offensive or inappropriate, or (ii) send any false, derogatory, or malicious communications.

    • Comply with all Company requirements and procedures for maintaining passwords, confidentiality, security and privacy as a condition of providing the Company with goods or services or receiving access to the Company internal corporate network, systems, and buildings. All data stored or transmitted on SWBI-owned or -leased equipment is to be considered private and is the property of the Company. The Company may monitor all use of the corporate network and all systems (including email), and may access all data stored or transmitted using the Company network.

    • Comply with the intellectual property ownership rights of the Company and others including but not limited to prints, copyrights, patents, trademarks, and trade secrets; and manage the transfer of technology and know-how in a manner that protects intellectual property rights.

GIVE IT YOUR BEST SHOT

Fundamentals and Common Sense are Key to Safe and Enjoyable Shooting and Hunting. Whether you're a beginner or planning to try big game hunting, a few basic rules will assure you safety and a rewarding experience:

Learn the Fundamentals

Understand that handgun hunting requires the same skills that other hunters need. Learn the quarry, its habits and habitats, by doing - spend a few days in the fields or woods with a veteran hunter and you'll pickup what you need to know or contact your local gun store or shooting club for more information.

Select Your Firearm

Choosing the right firearm is a key ingredient in a successful hunt. The handgun of choice should be one capable of accomplishing the task at hand but also one with which you are comfortable and can develop reasonable marksmanship skills.

Choose the Right Ammo

Selecting the right ammunition for the hunt is essential. Be sure and pick the right load for the game you are hunting, taking penetration and expansion into account. With the many bullet designs available there is a factory load for every quarry. Consult the ammunition guides and other hunters for help in making your choice.

Your choice of ammo can also have a big effect on your marksmanship. Rounds that are not easy to shoot due to excessive noise and recoil probably mean you won't practice as much as you should. Whether shooting .22 LongRifle or .44 Magnum® you may also want to try several loads in your gun to see which offer the best accuracy.

Develop Marksmanship

You have to be good enough to hit your target. Shot placement is important and knowing one's capabilities is essential. A two-inch target at 25 yards is a good way to start. When it comes to practice make sure you do it in the same manner you expect to shoot in the field. Many people spend all their practice time on the bench learning to shoot great groups at considerable distances.

Unfortunately there are not many benches to shoot from in the field. Practice getting into various shooting positions quickly and quietly and shoot from them. If you practice and are confident in your ability with the handgun of choice, know your distance limitations and stay within them, you will be a successful hunter.

Know and obey your state's hunting laws or those of the state in which you intend to hunt.

Handgun hunting is a challenge worth pursuing. Cover the basics and you'll find the sense of accomplishment in your improved skills is well worth it. Good hunting!

AMMUNITION

INFORMATION

A firearm and ammunition are a system. Their performance is closely related.

You are responsible for selecting ammunition that meets industry standards and is appropriate for this firearm. Use ONLY commercially manufactured ammunition with internal ballistic pressures which are in strict accordance with the specifications of the Sporting Arms and Ammunition Manufacturers' Institute. NEVER use non-standard, reloaded, or "handloaded" ammunition which has not been subjected to internal ballistic pressure testing.

Ammunition, especially reloaded or handloaded ammunition, may have many manufacturing and quality variables (such as type and amount of gun powder). Any ammunition that is improperly manufactured, even the slightest degree, may fail to fire or may generate excessive internal pressures which can damage or even rupture the firearm, causing personal injury to the shooter or those in the immediate vicinity.

Use only ammunition specifically recommended by Smith & Wesson for your firearm. Never mix ammunition!

MANUFACTURERS

Use only commercially manufactured ammunition with internal ballistic pressures which are in strict accordance with the specifications of the Sporting Arms and Ammunition Manufacturers' Institute (SAAMI).

This course is designed for Smith & Wesson M&P Centerfire Duty Pistols. Focus will be on nomenclature, field stripping and maintenance, safeties and safety checks, detailed disassembly, troubleshooting and minor repairs. Performing lessons repeatedly will insure good hands-on instruction for a better understanding of this firearm.

Course Length: 1 day/7 hours

Approximate class time 8:00AM – 4:30PM

 

M&P SHIELD ARMORER

This course is designed for Smith & Wesson M&P Shield Pistol. Focus will be on nomenclature, field stripping and maintenance, safeties and safety checks, detailed disassembly, troubleshooting and minor repairs. Performing lessons repeatedly will insure good hands-on instruction for a better understanding of this firearm. Students must attend the M&P Pistol Armorer course the day before to be able to register for this 4 hour course.

Course Length: 1 day/4 hours

Approximate class time 8:00AM – 12:00PM

 

M&P15 RIFLE ARMORER

This course is designed for Smith & Wesson M&P15 Centerfire Rifles and Carbines. Focus will be on nomenclature, field stripping and maintenance, safeties and safety checks, detailed disassembly of the upper assemblies and lower receivers, troubleshooting and minor repairs. Performing lessons repeatedly will ensure good hands-on instruction for a better understanding of this rifle.

Course Length: 2 days/14 hours

Approximate class time 8:00AM – 4:30PM

REVOLVER/J FRAME DAO REVOLVER ARMORER

This new 3 day course is designed for Smith & Wesson duty-type revolvers including the J Frame. It will focus on inspection, trouble shooting and repair techniques. Topics to be covered are disassembly, fitting of new parts and reassembly. Lessons will be performed on past designs first to expose the Armorer to revolver function and then present designs and repair techniques will be covered in depth to ensure confidence in revolver maintenance and repair.

Course Length: 3 days/21 hours

The prerequisite for attending a Smith & Wesson Academy class is that you are Active Law Enforcement (LE), Military, or Armed Security Service and acquiring these skills and certification to work on your department/unit/company firearms.

Admission to any Smith & Wesson Armorers Course is open to all members of law enforcement and correction agencies, military police and security officers.
